Terms of Service

1. The Service

KARG is a multi-tenant SaaS platform for road-freight carriers. It provides load matching across freight exchanges, fleet and shipment tracking, driver communication, profit calculation, invoicing helpers and customs declaration workflows. We may add, change or remove features over time; we will not materially reduce a feature you actively rely on without prior notice.

2. Eligibility

• You must be a legal entity engaged in road transport, freight forwarding or directly related services.
• The individual creating the account must be authorised to bind the entity.
• You must be at least 18 years old.
• You must not be subject to EU, US, UK or UN sanctions.

3. Accounts & security

You are responsible for keeping account credentials confidential and for all activity under your accounts. Notify us at security@karg.to immediately if you suspect unauthorised access. Each named user must have their own login; sharing accounts is not permitted.

4. Subscriptions, fees and taxes

• Plans, prices and quotas are described on the pricing page or in your order form.
• Fees are billed in advance and are non-refundable except where required by law.
• Prices are exclusive of VAT and other applicable taxes.
• We may revise prices on renewal with at least 30 days' notice.
• Late payments may result in suspension after a 14-day grace period and written reminder.

5. Customer data

You retain all rights in the data you upload or generate inside your workspace (loads, drivers, vehicles, documents, telematics positions, customs declarations). You grant KARG a worldwide, non-exclusive licence to host, process and transmit that data only as needed to provide the Service, prevent abuse and comply with the law.

We process personal data as your processor under our Privacy Policy and our Data Processing Agreement (DPA). Customers can request the DPA at privacy@karg.to.

6. Acceptable use

You agree not to:

• Reverse-engineer, decompile or attempt to extract the source code of the Service.
• Resell, sublicense or expose the Service as a white-label without our written agreement.
• Probe, scan, or test the vulnerability of the Service except under our responsible disclosure policy (see Security).
• Use the Service to send unsolicited messages, spam, or content that is unlawful, harassing or infringing.
• Upload malicious code or content designed to disrupt the Service or other users.
• Use the Service in a way that violates the terms of any third-party integration you connect (for example, the terms of your freight-exchange contract).

7. Third-party integrations

The Service can connect to freight exchanges (FomCo, TimoCom, others), telematics providers, messaging providers (Telegram, Twilio) and customs authorities (HMRC). You are responsible for having a valid contract with each third party you connect and for complying with their terms. We are not liable for the availability, accuracy or decisions of those third parties.

8. Service levels & availability

We aim for 99.5% monthly availability for the production Service, excluding scheduled maintenance announced at least 48 hours in advance and outages caused by upstream providers. Specific commitments for paid tiers are described in the order form.

9. Confidentiality

Each party agrees to protect the other party's non-public information using at least the same care it uses to protect its own, and not to use it except to perform under these Terms. This obligation survives termination for three years.

10. Intellectual property

KARG, the karg.to website, the platform, its source code, designs, documentation and trademarks are owned by us or our licensors. Nothing in these Terms transfers any such rights to you, except the limited right to use the Service during your subscription.

If you give us feedback or suggestions, we may use them without restriction or attribution.

11. Suspension & termination

Either party may terminate for cause if the other materially breaches the Terms and fails to cure within 30 days of written notice. We may suspend the Service immediately if your use poses a security risk or violates the law. On termination we will retain your data for 30 days during which you can export it; afterwards we delete it as described in the Privacy Policy.

12. Warranties

We warrant that the Service will perform substantially as described in our documentation. Otherwise the Service is provided on an “as is” and “as available” basis, without further warranties to the maximum extent permitted by law.

13. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, consequential or punitive damages, lost profits or lost data. Each party's aggregate liability for any claim arising out of these Terms is limited to the fees paid by you to KARG in the 12 months preceding the event giving rise to the claim. Nothing in this section limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify KARG against third-party claims arising from your data, your use of the Service in breach of these Terms, or your violation of a third-party integration's terms.

15. Governing law & jurisdiction

These Terms are governed by the laws of Romania. Disputes are subject to the exclusive jurisdiction of the competent courts of Bucharest, without prejudice to any mandatory consumer protection rules in your country of establishment.

16. Changes

We may update these Terms from time to time. Material changes will be announced at least 30 days in advance to customer administrators. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
